A RESOLUTION OF THE VILLAGE OF LOMBARD AUTHORIZING DUCOMM'S PURCHASE OF A COMMUNICATIONS TOWER

WHEREAS, the Corporate Authorities of the Village of Lombard is a unit of local government and a member of the DuPage Public Safety Communications ("DuComm"), DuPage County, Illinois; and
WHEREAS, DuComm is a creature of intergovernmental cooperation organized under the Intergovernmental Cooperation Act, 5 ILCS 220/1 et seq., and the Emergency Telephone System Act, (40 ILCS 750/0.01 et seq.); and
WHEREAS, 65 ILCS 5/1-1-5, authorizes the Corporate Authorities of a Municipality to exercise jointly all powers which it possesses; and
WHEREAS, the Fire Protection District Act, 70 ILCS 705/10 (b), provides that a fire protection district may provide for joint ownership of communications equipment and the real and personal property necessary for the care and housing of such equipment so long as the terms of the agreement are fair and are set forth in writing; and
WHEREAS, the Board of Directors of DuComm is empowered to contact for loans, but is required by the terms of Article III, Paragraph (A)(8)(i) of the DuPage Pubic Safety Communications By-Laws to obtain approval of the governing boards of at least two-thirds (2/3rds) of the participating members that have a representative on the Board of Directors of DuComm, of the amount, term and interest rate of any proposed loan that exceeds $50,000; and
WHEREAS, the Corporate Authorities of the Village of Lombard and DuComm believe that the purchase of a communications tower from AT&T will benefit DuComm and its member governmental units.
NOW, THEREFORE, BE IT RESOLVED BY THE PRESIDENT AND BOARD OF TRUSTEES OF THE VILLAGE OF LOMBARD, DU PAGE COUNTY, ILLINOIS as follows:
SECTION 1: That the Corporate Authorities of the Village of Lombard authorizes the Board of Directors of DuComm to enter into a loan agreement for an amount not to exceed $568,000 at an interest rate not to exceed 6% for a term not to exceed five (5) years in duration.
SECTION 2: That the Corporate Authorities of the Village of Lombard authorizes the Board of Directors of DuComm to enter into a loan agreement solely for the purpose of the purchase of the communications tower from AT&T and the financing expenses related thereto.
SECTION 3: This Resolution shall be in full force and effect from and after its adoption and passage as provided by law.
